Articles of Organization
- Do-It-Yourself for $27: Richard Keyt has prepared Articles of Organization for 2,400+ Arizona limited
liability companies. This form is essentially the same as the Articles
of Organization Rick uses when he forms an Arizona LLC for a client.
Although the Arizona Corporation Commission has a fill in the blanks form
Articles of Organization, Arizona LLC lawyer Richard Keyt never uses the ACC's
form for the following reasons:
A. The Articles of
Organization is the fundamental document that creates your LLC.
You know what they say about first impressions. The LLC's
Articles of Organization is the primary document that makes a
first impression of the LLC. Third parties sometimes want to see
the LLC's Articles of Organization. For example, if you open a
bank account in the name of the LLC or if the LLC applies for a
bank loan, the banker will want a copy of the LLC's Articles of
Organization. Your LLC's Articles of Organization can make a
good impression or a bad impression on the banker.
B. Richard Keyt's Articles
of Organization contain provisions in the Section titled
"Limitations on Company Action" that are not found in the
Arizona Corporation Commission's two page fill in the blanks
form. This section contains provisions that Arizona LLC attorney
Richard Keyt believes are important limitations on the ability
of the LLC to engage in certain actions.
C. The last section of
Richard Keyt's Articles of Organization called "Springing
Member" contains a provision that ties into a similar provision
in Richard's do-it-yourself Operating Agreement. The springing
member provisions in the Articles of Organization and the
Operating Agreement are especially important if the LLC has only
one member and that member is a person. These two provisions may
avoid the termination of an LLC that is owned solely by one
person if that person were to die. Arizona law provides that if
there is only one member of an Arizona LLC and that member is a
person who dies, the LLC automatically terminates, i.e., ceases
to exist. This could be a very bad thing! The termination of an
LLC could have adverse consequences to the LLC and the person or
people who would inherit the interest of the last deceased
member. For example, the termination of the LLC could cause the
recognition of income and incurrence of income taxes if the
deemed distribution of assets of the LLC on its termination is a
taxable event. The springing member provisions in the Articles
of Organization that tie into similar provisions in Richard
Keyt's Operating Agreement allow the LLC to name a springing
member who becomes a temporary member only if the last member
were to die. The sole purpose of the springing member is to
prevent the termination of the LLC if the last member were to
die. The springing member does not have any power or rights to
receive money or property form the LLC.

Operating Agreement
- Do-It-Yourself for $97: Richard Keyt has prepared Operating

This form is essentially the same as the 40+ standard Operating

Arizona law does not require an Arizona limited liability company to have an
Operating Agreement, but Arizona LLC attorney Richard Keyt says every Arizona

An Operating Agreement is an agreement signed by the sole member or all the
members of a multi-member LLC (including a husband and wife owned LLC, which is
a two member LLC). The Operating Agreement is a critically important
document because it sets out the rights and obligations of the members and the
company with respect to each other. For more on the importance of an

Here's a few of the many reasons every LLC should have an Operating
Agreement:

It is the document that evidences
(proves) who the members of the LLC are. The Articles of
Organization filed with the Arizona Corporation Commission is
some evidence of who the members of an AZ LLC are, but not
determinative. The Operating Agreement prevents disputes over
who owns the LLC and how much each party owns. I have had many
people come to me for help when the members of their LLC
disagreed over who was a member and/or what percentage of the
LLC each member owned. These people formed an AZ LLC, but the
members never signed an Operating Agreement. If your LLC has
more than one member, how can any member prove what percentage
of the LLC the member owns? The Articles of Organization may
list all of the members, but it does not say how much each
member owns. The Operating Agreement is the document that proves
who the owners are and what percentage of the company each owns.

An Operating Agreement signed by
the sole member / all members helps prevent a court from
piercing the veil and holding the members liable for the debts
of the LLC because a signed Operating Agreement is a positive
fact that shows the members are treating their LLC as a business
like any prudent business person would.

Many third parties may request to
see a copy of the signed Operating Agreement. If the LLC signs a
lease for real property, borrows money or buys or sells land,
the landlord, lender and title insurance company will want to
review a signed Operating Agreement.
- A signed Operating Agreement creates a legal obligation for
a member to contribute money or property to the LLC. Arizona law
provides that a member of an AZ LLC is not obligated to
contribute money or property to the LLC unless the obligation is
in writing signed by the member. If you want to obligate a
member to pay money to your LLC, the member's obligation should
be set out in an Operating Agreement signed by that member.
