Richard will prepare and file the Certificate of Organization with the DE Secretary of State, arrange to hire a Delaware resident agent and pay for the first year of the service, get the federal employer ID number from the IRS and prepare a custom Operating Agreement drafted for DE LLC law. Members can digitally sign the Operating Agreement via DocuSign. We will also give you a membership certificate for each member, resolutions of the first meeting of the members and all of your documents behind tabs in a three ring binder.

A federal law effective January 1, 2024, called the Corporate Transparency Act requires your new company to file a report with the Financial Crimes Enforcement Network of the U.S. Treasury (“FinCEN”) not later than 90 days after the date its Articles of Organization are filed with the Arizona Corporation Commission. If your company does not file the report on time FinCEN can fine your company $500 a day for each day the report is late. Intentional failure to file can result in up to two years of imprisonment. If the spouses own as community property then if one spouse dies the other spouse automatically becomes the sole owner of the membership interest without the need for a probate and there may be an income tax advantage. Community property ownership means that if the spouses divorce each spouse is entitled to one half the value of their joint ownership interest in the LLC.

Arizona law provides that if a spouse who is an Arizona resident acquires property during marriage the property is automatically community property unless the property was acquired as a gift or from an inheritance unless the non-owner spouse signs a disclaimer. When a spouse owns the LLC as separate property and the spouse dies, the interest does not pass automatically to the deceased spouse's heirs and an expensive and time consuming probate will be necessary to transfer the interest to the heirs.

What is a Buy Sell Agreement?
